End-User License Agreement (EULA)
This End-User License Agreement (the "Agreement") is entered into between VBAsics Software, a United States of America/ New York Sole Proprietorship, ("Licensor") and the individual or entity using the Purchased Software (the "User").
1. Grant of License:
a. The Licensor grants the User a non-exclusive, non-transferable license (the “License”) to use the Software purchased from the Licensor (the "Software") for personal use only.
b. The User’s purchase grants the right to activate and use the License. The Agreement does not transfer to the User ownership rights or title to the Software. VBAsics Software retains all rights not expressly granted herein.
2. Permitted Use:
a. The Software is licensed for use solely by the User for personal, academic, or business purposes.
b. The User may not sublicense, distribute, sell, or transfer the Software to any third party.
3. Restrictions:
a. The User may not reverse engineer, decompile, or disassemble the Software.
b. The User may not modify, adapt, or create derivative works based on the Software.
4. Intellectual Property:
a. All intellectual property rights associated with the Software remain the exclusive property of the Licensor.
5. Support and Updates:
a. The Licensor may, at its sole discretion, provide technical support, bug fixes, or updates to the Software.
6. Term and Termination:
a. The License becomes effective upon purchase and remains in effect until terminated.
b. The Licensor may terminate this license immediately upon breach of this Agreement.
c. This License will automatically terminate at the end of the academic semester for which the Software is purchased, unless otherwise agreed upon.
7. Disclaimer of Warranty:
a. The Software is provided "as is" without any express or implied warranties, including but not limited to fitness for a particular purpose or merchantability.
8. Limitation of Liability:
a. In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Software.
9. Chargebacks and Dispute Resolution
a. By accepting this Agreement, the User agrees to contact VBAsics Software directly to resolve any issues related to their purchase prior to initiating a chargeback or dispute with a financial institution.
b. The User acknowledges that due to the digital nature of the Software, all sales are final once the product has been downloaded or accessed, except as expressly provided in our Refund & Return Policy.
c. Unjustified or fraudulent chargebacks may result in immediate revocation of the User's License, denial of future purchases, and may be challenged with supporting evidence. VBAsics Software reserves the right to take appropriate steps to protect against abuse.
10. Governing Law:
a. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States.
11. Entire Agreement:
a. This Agreement constitutes the entire understanding between the User and the Licensor regarding the Software and License, and supersedes any prior agreements or understandings.
